End User License Agreement
1. License grant
Subject to this Agreement, Long Hill grants authorized Long Hill personnel and authorized service providers a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for Long Hill’s internal business purposes, including connecting to QuickBooks Online (“QBO”) to sync financial and expense data for reporting.
2. Restrictions
- You may not sublicense, sell, rent, lease, or publicly distribute the Software.
- You may not reverse engineer, decompile, or attempt to extract source code except where applicable law prohibits this restriction.
- You may not use the Software for any unlawful purpose or in violation of Intuit’s or other third-party terms.
- Access credentials and tokens must be kept confidential and used only as authorized.
3. QuickBooks Online and third-party services
QBO and related Intuit services are third-party products. Long Hill does not own or control Intuit or QBO. Your use of QBO remains subject to Intuit’s applicable agreements and policies. Long Hill is not responsible for QBO availability, accuracy, or changes to Intuit APIs.
4. Credentials and security
You are responsible for QBO and related account credentials, OAuth tokens, and access permissions you authorize. You must use strong authentication where available and promptly revoke access if credentials are compromised or authorization should end.
5. No warranty
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Long Hill does not warrant that the Software will be uninterrupted, error-free, or free of harmful components.
6. Limitation of liability
To the maximum extent permitted by law, Long Hill will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunity, arising from or related to the Software or this Agreement. Long Hill’s aggregate liability under this Agreement will not exceed CAD $100.
7. Termination
This license ends automatically if you breach this Agreement. Long Hill may suspend or terminate access at any time, including when QBO connections are revoked, security risk is identified, or the internal project ends. Upon termination, you must stop using the Software and Long Hill may disable connectors and revoke tokens.
8. Governing law
This Agreement is governed by the laws of British Columbia, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-law rules.
